Terms of Service — Coocat Business

These Terms of Service ("Terms") govern your access to and use of the Coocat Business mobile application and related provider tools operated by FusioncoreX Solutions LLP (doing business as Coocat) ("Coocat", "we", "us", or "our").

Coocat Business is for caterers, cooks, and authorised catering staff who offer food services to customers through the Coocat marketplace across Gujarat, India. By creating a provider account, completing onboarding, or otherwise using Coocat Business, you agree to these Terms. If you do not agree, do not use the app.

Coocat operates a marketplace that connects customers with independent caterers and cooks ("Providers"). Through Coocat Business you may create a business or cook profile, manage menus and packages, set service areas and availability, receive inquiries and booking requests, send quotes, fulfil orders, and track related activity.

Unless we expressly state otherwise for a specific Coocat-operated offering, Providers are independent businesses or professionals. Coocat is not your employer, partner, or joint venture, and does not itself prepare or serve the food you fulfil for customers.

• You must be at least 18 years old and legally able to offer food services in India.
• You must provide accurate, complete, and current business, contact, and profile information.
• You are responsible for safeguarding your login credentials and for all activity under your account, including actions by staff you authorise.
• We may require identity verification (including Aadhaar-based checks), business details, and other documentation before you can receive or fulfil bookings.
• We may suspend or terminate accounts that are incomplete, misleading, fraudulent, unsafe, or otherwise in breach of these Terms.

• Customer inquiries and booking requests may be shared with you so you can respond, quote, accept, decline, or fulfil the request.
• A booking is subject to mutual confirmation of date, menu or scope, guest count, venue or service location, price, and any special terms you communicate.
• Once you accept or confirm a booking, you are responsible for fulfilling it to the agreed standard, unless cancelled under applicable cancellation rules or with customer and/or Coocat coordination.
• Repeated no-shows, late cancellations, poor fulfilment, or customer complaints may result in reduced visibility, suspension, or removal from the platform.

• You set or confirm prices for your offerings, subject to any platform display rules and applicable taxes.
• Payment collection may occur through Coocat, directly between you and the customer, or a combination, depending on the booking flow. You agree to honour confirmed commercial terms.
• Coocat may charge platform, convenience, or other service fees. Any such fees will be disclosed to you where reasonably practicable before you use the relevant feature or accept the relevant booking.
• You are solely responsible for your own tax obligations arising from income earned through the platform.

If you need to change or cancel a confirmed booking, notify the customer and Coocat as early as possible. Unreasonable cancellations, last-minute unavailability, or failure to fulfil may lead to account restrictions. Customer-side cancellations and refunds may be governed by our Cancellation Policy, the terms shown at booking time, and applicable law.

You retain ownership of your business content (such as menus, photos, and descriptions). You grant Coocat a non-exclusive, worldwide, royalty-free licence to host, display, reproduce, and distribute that content in connection with operating, promoting, and improving the Services, including on the Coocat website and customer app. You warrant that your content does not infringe third-party rights.

You agree not to:

• Use Coocat Business for unlawful, fraudulent, or harmful purposes.
• Circumvent the platform to avoid fees after obtaining a customer lead through Coocat, where doing so violates disclosed platform rules.
• Manipulate ratings, create fake bookings, or submit misleading reviews.
• Scrape, reverse engineer, or disrupt the platform, APIs, or security measures.
• Upload malware or attempt unauthorised access to accounts or systems.
• Share customer personal data obtained via Coocat except as needed to fulfil bookings.

The Coocat name, logo, app design, software, and marketplace materials (excluding your provider content and customer content) are owned by Coocat or its licensors. You may not copy, modify, or use our branding without prior written permission, except as needed to identify yourself as a Coocat Provider in ordinary marketing where we have authorised such use.

Coocat Business is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee a particular volume of inquiries, bookings, or earnings, or uninterrupted or error-free operation.

To the fullest extent permitted by applicable law, Coocat and its affiliates shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business opportunity, arising from your use of Coocat Business or from customer bookings. Our total liability for any claim relating to Coocat Business shall not exceed the greater of (a) the platform fees you paid to Coocat in the three months preceding the claim, or (b) INR 5,000.

Nothing in these Terms excludes liability that cannot be excluded under applicable Indian law. You remain responsible for your food, staff, venue performance, and customer service.

Our collection and use of provider and related personal data is described in our Coocat Business Privacy Policy. By using Coocat Business, you also acknowledge that policy.

You may stop using Coocat Business at any time. We may suspend or terminate access if you breach these Terms, create risk or legal exposure for us, customers, or others, fail verification requirements, or if we discontinue the service. Provisions that by their nature should survive (including intellectual property, content licence, disclaimers, limitation of liability, and governing law) will survive termination.

We may update these Terms from time to time. When we do, we will revise the Effective Date above and, for material changes, provide notice via email, in-app message, or a website notice. Continued use of Coocat Business after the updated Terms take effect constitutes acceptance of the changes.

These Terms are governed by the laws of India. Subject to applicable law, courts in Ahmedabad, Gujarat shall have exclusive jurisdiction over disputes arising from these Terms or Coocat Business.
